This Promotion or any element thereof may be terminated, cancelled, or modified by Sponsor in its sole and absolute discretion and, without limitation, any time period may be extended, shortened, or modified due to exigencies of the circumstances (as determined by Sponsor). By submitting an Entry, Participants agree to be bound to these Official Rules, Privacy Policy and the interpretations and decisions of the Sponsor which are final and binding; if you do agree, please do not submit an Entry into this Promotion.

ARBITRATION NOTICE: BY ENTERING, YOU AGREE THAT DISPUTES BETWEEN YOU AND ANY PROMOTION ENTITY WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A JURY TRIAL, CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. See Disputes/Arbitration provision.

ELIGIBILITY:  VAHNA Motorcycle Film Festival Video Contest (“Promotion” or “Contest”) is offered in the contiguous 48 United States (excluding Alaska and Hawaii) (“U.S.”) to legal U.S. individuals, 18 years of age or older who are physically residing in the U.S. at time of entry and at time of prize award and whose participation is in accordance with these Rules and is not subject to any conflicting contractual, legal or other restriction (eligible “Participants”). Employees, officers, and directors of Triumph Motorcycles (“Sponsor”), META Syndicate, LLC d/b/a VAHNA, RevIt, 805 Beer, Danner Boots, Bell Helmets, Rider Justice, Revzilla, and MotoTV and their respective subsidiaries and affiliates, representatives and promotional/marketing agencies, and any others who are engaged directly or indirectly in the development of, the production, distribution or review of materials for, or the administration, execution or implementation of this Promotion (collectively all the “Promotion Entities”), and persons in the immediate family of such individuals (spouse, parent, child, sibling, partners and their respective spouses, and foster and step-relations) regardless of where they reside, or those living in their same household (whether or not related) as any person in any of the preceding categories are not eligible to enter or win a prize. Further, officers, employees and contractors of any commercial filmmaking company/studio, individuals, employees or self-employed professional filmmakers are excluded from participating in this Promotion and from receiving a prize. For purposes of this Promotion, a “professional filmmaker” is someone engaged in the profession of filmmaking who has received compensation within the last two years for, or who receives a majority of their annual income from, the creation, use, sale, display and/or distribution of their film(s) in whole or in part, in any and all media/medium throughout the world.    

IMPORTANT NOTICES: Participants have the responsibility to review and understand applicable policies, laws, rules and/or regulations including tax implications and any other limitations regarding eligibility to participate in promotions and/or receive prizes in connection therewith (collectively “Policies and Laws”).  Furthermore, if Participant is suspected of entering without obtaining the appropriate consents or approvals for their submission/Entry or any part thereof, or if an individual is participating in violation of any such Policies and Laws, Sponsor may, in its sole discretion, disqualify the Participant and forfeit their prize, if applicable. In order to be verified and receive a prize, all potential winners will be required to sign, have witnessed and return within the time required a Declaration of Eligibility, Release of Liability, Assignment and Publicity Release (“Release Documents”) or will forfeit the prize. Potential Grand Prize winner will also be required to furnish a current, valid U.S. motorcycle license and vehicle liability insurance that meets or exceeds the requirements of their state of legal residence, or else prize will be forfeited. 

PROMOTION/ENTRY/TOUR PERIODS: Begins on or about 9:00 am Mountain Time (“MT”) on or about May 1, 2023 and ends 12:00 pm MT on April 30, 2023 (“Promotion Period”). All Entries must be received by 12:00 pm MT on September 30th, 2023 (“Entry Period”). Finalist Entries will have the opportunity to participate in a public screening tour, anticipated but not guaranteed to be in the following U.S. cities on or about the following dates: Oct '23 – Atlanta, GA; Nov '23 – Denver, CO; Dec '23 – Phoenix; Feb '24 - Los Angeles; Mar '24 – Portland; April '24 – Austin, TX (“Screening Tour” or “Tour”). Tour schedule, any Tour, and any element thereof may be terminated, cancelled, or modified by Sponsor in its sole and absolute discretion. 

USE OF INFORMATION/AGREEMENT BY PARTICIPANT: The information provided will be used as stated herein and as stated in Sponsor’s Website’s Terms of Use (https://vahna.com/officialrules) and its Privacy Policy (“Privacy Policy”) (https://vahna.com/privacy policy) incorporated herein by reference). By participating, each Participant fully and unconditionally agrees: all information provided will be collected, stored and used by Sponsor (and its authorized representatives) as provided in their respective Privacy Policy (including without limitation for marketing, advertising, lead generation and all other purposes as stated therein) and in these Official Rules; to be bound to and accept these Official Rules, Terms of Use and Privacy Policy, and any additional terms and conditions specific to the Promotion communicated by Sponsor (collectively “Rules”); and to be bound to the interpretations and decisions of the Sponsor (and its authorized representatives) which are final and binding in all matters. 

TO ENTER: To enter, during the Entry Period Participants visit the Website and follow the online instructions to accurately and fully complete the registration page, including agreeing to these Rules, and providing a link to a compliant, original video submission created especially for this Contest (minimum length 5 minutes – up to a maximum length of 15 minutes) which is uploaded as a PRIVATE video via Vimeo or YouTube (“Entry”). Through the art of motorcycle cinematography and each Participant cinematographer’s unique storytelling abilities and creative vision, each video Entry should capture the ‘essence’ of motorcycle riding. 

Participants must provide a private link to their Entry, only on one of the two channels specified, and the Entry must be in English and comply with these Rules, or else will be disqualified.  Any and all information, materials and content submitted become part of an Entry and are governed by the Rules. In the event of a dispute as to the identity of an online Participant, the authorized account holder of the email address used in connection with the Entry will be deemed to be the Participant, provided eligible. 

Limit one (1) Entry per Participant. Scores will not be made public at any time. Any Entry that is not submitted by an eligible individual, does not appear eligible or compliant, or does not include required content, does not (in Sponsor’s sole discretion) appear to be submitted in good-faith, or that fails to follow all steps and include all other required information may be disqualified. If Sponsor’s or Promotion Entities’ product, goods, services, and/or trademarks, trade names, and/or brands are featured or mentioned in the Entry they must be featured accurately, truthfully and appropriately (as determined by Sponsor in its absolute discretion) or else Entry will be immediately disqualified. In the event more than one Entry is submitted from the same Participant in this Promotion, only the first Entry submitted will be considered. Sponsor reserves the right, but without obligation, to redact certain information from an Entry if in doing so it will not affect judging (by way of example, any mention of a celebrity may be redacted and not essential to the Entry). 

ENTRY SPECIFICS: Entries must be complete, compliant, submitted via the methods communicated, and received by Sponsor within the Entry Period.  Incomplete, invalid, unsuitable, or otherwise non-compliant Entries (as determined in Sponsor’s absolute discretion) will not be eligible. If, upon review, Sponsor (or its authorized representative) is unable to determine that an Entry and/or Participant is eligible, compliant, or reasonably suspects that it/he/she is not eligible or compliant in whole or in part, the Entry as a whole may be disqualified.  Proof that an Entry was uploaded does not constitute proof or evidence that it was received within the Entry Period or eligible for this Contest. Entries will not be acknowledged or returned. Entries submitted via any other entry method than stated herein will not be accepted. Participants may not (whether apparent or suspected) enter with multiple or false identities, accounts, or devices, or use multiple e-mail and/or street addresses, or use any other device or artifice to enter or participate. Engaging directly or indirectly in any (apparent or suspected) artifice, cheating, fraud, spamming, phishing, harassment, on-line clubs (or similar methods whether or not paid), exchange sites, robotic, automatic, macro, programmed or like participation methods as determined in Sponsor’s sole and absolute discretion, will void all such Entries, and disqualify any Participant suspected of using/benefitting from such methods. 

Without limiting the foregoing, Entries will be disqualified if Sponsor believes the Entry is not in the spirit of the Promotion or any element thereof, is not compliant, or will have a detrimental impact on Sponsor, this Promotion or any of Sponsor’s or Promotion Entities’ brands, products or services. Furthermore, if an Entry, for any reason whatsoever, contains content or garners comments that is/are unpleasant, distasteful, nasty or otherwise inappropriate for the Sponsor community (in Sponsor’s absolute sole discretion), Sponsor reserves the unrestricted right to disqualify Entry or Participant. 

Promotion Entities assume no responsibility for lost, late, incomplete, inaccurate, undelivered, delayed, destroyed, damaged, or misdirected Entries (in whole or in part); or for any equipment, computer, telephone, device, network, Website, platform, app, electronic, hardware or software malfunctions, failures, connections, or (un)availability, or garbled, corrupt, or jumbled transmissions; nor service provider, Intranet/Internet, Website, user accessibility or availability, incompatibility, traffic congestion, unauthorized human intervention or any error (human or not), or the incorrect or inaccurate capture of Entry or other information or any part thereof, nor for the failure to capture or display any such information. 

Entrants’ use of the respective Social Media Platform used to facilitate Entry must comply with and be in accordance with its respective Terms of Use, Terms of Service and Privacy Policies (found on their respective home websites). This Promotion is in no way sponsored, endorsed or administered by, or associated with Vimeo or YouTube, or any other Social Media Platform or channel used to promote, advertise or facilitate this Promotion. If you don’t have a Vimeo or YouTube account, you can become a member without charge by simply following the Social Media Platform instructions and accepting the terms and conditions of use. 

Normal internet access and device usage charges imposed by your mobile plan and/or on-line service may apply to Entry via mobile device. For those Participants entering with a mobile device: Promotion may not be available via all mobile carriers. Messaging & data rates may apply to access via mobile devices. REPRESENTATIONS ABOUT YOUR ENTRY: By submitting an Entry, Participants hereby represent, warrant and covenant (as applicable), and agree to produce written evidence of such if requested, that:

(i)              The Entry/content, in whole and in part, is an original work of Participant, is not created or enhanced by artificial intelligence, is compliant with the Rules, does not violate or appear to infringe upon any laws, rules, regulations, privacy, proprietary or intellectual property rights (including copyrights, trademarks,  patents, trade secrets, industrial property rights, personal or moral rights), or any other laws, regulations, or rights whatsoever of any country, person and/or entity, and will not bring Sponsor or the Promotion Entities into public disrepute, scandal or embarrassment;

(ii)             The Entry, in whole and in part, is submitted by or with the permission of all persons (living or deceased), venues and/or business entities who worked on, were engaged to work on, or contributed in any respect to the Entry or any part thereof, who are referenced or depicted (directly or indirectly) in the Entry by name, likeness, voice, image or any other information or indicia of persona, or who otherwise have any right, title and interest in and to the Entry or any part thereof (including but not limited to rights arising from employment or work for hire relationship), and all such persons, venues, and/or business entities have provided their written consent to submission of the Entry and its use pursuant to the Rules; 

(iii)             Participant has all other rights, licenses, permissions and consents necessary to submit the Entry for the uses contemplated in this Contest and to license the Entry to the Sponsor as provided in these Rules, and the exercise thereof by the Sponsor or any other Promotion Entity of the rights granted by Participant, in whole or in part, does not and will not give rise to any alleged or actual claims, disputes, damages, actions or liabilities, including but not limited to those for disputes or payment of any kind, including without limitation royalties, residuals, attribution, credit, dues, approval or consultation rights, or any rights of participation, attribution, or any other fees, costs, or expenses, arising out of the submission, use, exhibition and/or any other use or exploitation of the Entry, in whole and in part, the use and exercise by Promotion Entities of any of the rights granted in these Official Rules;

(iv)            The Entry in whole or in part contains no malware, including viruses, trojans, worms, bugs, spyware or any other harmful software, code or other devices; 

(v)     The Entry does not depict, refer to or contain in any respect image(s), voice(s) or information about a minor under the age of 18; and

(vi)             The Entry in whole or in part does not violate the Rules, does not contain or promote sexist, pornographic or sexually explicit, defamatory, discriminatory, offensive, violent, harmful, highly unsafe or dangerous activities, illegal, cruel, abusive, highly political, religious or sensitive content or activities, swear words, course content, or content of an obscene or menacing character, and does not otherwise appear to condone or promote cruelty, bigotry, hatred or harm against any animal, group or individual, or to (expressly or impliedly) contain, condone, or promote discrimination based on race, gender or gender identity, pregnancy, religion, nationality, disability, sexual orientation, or age, or otherwise offend against reasonable standards of taste and decency.

GENERAL ENTRY CONDITIONS:  Once submitted, Entries may not be cancelled or deleted, enhanced, added to, or improved, and will not be returned, if applicable. The Entry may be publicly displayed, viewed and used by the Promotion Entities in whole or in part, as provided herein and by others interested in, involved with, or administering the Contest. PROMOTION ENTITIES MAKE NO WARANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN CONNECTION WITH THEIR ABILITY TO IN ANY WAY ENABLE, DEVELOP, MARKET OR PROMOTE THE PARTICIPANT, THE ENTRY, NOR THE IDEAS OR TECHNOLOGY THAT MAY BE EMBODIED OR SET FORTH IN AN ENTRY, IN WHOLE OR IN PART.  Nothing herein shall be deemed an obligation of confidentiality. Any third-party copyrighted works, or trademarks, logos, brand names, etc. (“Logos”) or any other intellectual property in an Entry must not be used commercially and must appear only perfunctorily and in the background to the Entry; all such copyrighted works and Logos are the property of their respective owners, which are not sponsors or affiliated with this Promotion in any way. Participants understand and agree to assume the risk that their Entry and any element thereof may, in whole or in part, be identical or similar to any other Entry, that one Entry may regardless receive varying scores from another Entry, and Participants release and hold Promotion Entities harmless from same.

LICENSE TO ENTRY: In consideration for the opportunity to particulate in the Promotion, at the time an Entry is submitted and whether or not selected as a Finalist or winner, Participants grant to Sponsor and Promotion Entities an unlimited, royalty-free, fully paid up worldwide license in and to their Entry and all content therein (and agree to execute all documents and perform all acts deemed necessary by Sponsor to perfect and record this license) throughout the world, without any restriction or obligation as to use (“License”). By entering, Participants understand and agree that if selected as a Finalist their Entry may be publicly screened, displayed and viewed as part of the current VAHNA Motorcycle Film Festival and future VAHNA Film Festivals, and used as provided herein now and in the future throughout the world. Entrants understand and agree by granting this License, their Entry may be modified, edited, distorted, used in whole or in part, alone or in combination with other works, used in illusory or composite form, or in any other manner, as solely determined by Sponsor in any media and medium whatsoever now known or hereinafter developed (including without limitation film, print, broadcast, radio, internet, and posted throughout Sponsor’s and (unrelated) third parties’ digital, on-line, and off-line social media, marketing and advertising properties, and/or any other media/medium) through-out the world, without further compensation or review.  Entrants will not now nor in the future be further paid for their Entry or for this License. 

JUDGING CRITERIA/WINNER SELECTION: Entries will be judged by a panel of judges selected by Sponsor. Eligible Entries will be judged based on the judging criteria below to select twenty (20) potential finalists (“Finalists”). Subject to receiving sufficient eligible Entries, Sponsor will select the stated number of eligible Finalists. In the event of a tie, the tie will be broken amongst all tied Entries by the highest score in the Passion category. Sponsor reserves the right to select more or less than the stated number of Finalists based on the quality (or lack thereof) of the Entries received. Finalist Entries will then be judged based on the same judging criteria to select on the basis of highest scores, one (1) potential Grand Prize winner, one (1) First Prize winner and one (1) Second Prize winner (“Prize winners”).

• Quality of storytelling - Captivating, engaging, surprise, thrill etc.
• Passion that is conveyed by the entrant for filmmaking/motorcycles/motorcycle riding/riders and its/their impact on other people’s lives.

The display or screening order of any Finalist Entry in the Film Festival or on any website and/or social media channel shall not be deemed to constitute Sponsor’s representation or agreement that the Entry will receive a higher score or prize award than any other Finalist Entry. It is anticipated that Finalists will be notified via telephone or email (in Sponsor’s sole discretion) on or about approx. 10 working days after verification. Sponsor reserves the right not to select the stated number of Finalists or a winner in its reasonable discretion due, for example, to insufficient eligible and qualified Entries. Finalists will be required to insert Sponsor’s provided Title Cards where designated on their video Entry prior to it being eligible for screening in the VAHNA Motorcycle Film Festival tour.  Finalists are welcome to attend any of the screenings, but doing so is at their sole cost and expense. 

PRIZES/Approximate Retail Value/Manufacturer’s Suggested Retail Price (“ARV/MSRP”): Subject to verification of eligibility, compliance and execution of the applicable Release Documents, the following prizes are available to be awarded:

Grand Prize (1): a new 2024 Triumph® T120 Black edition motorcycle (MSRP: $12,695.00 USD). Winner is solely responsible for any and all fees and/or costs including title, license, registration, and insurance incurred in claiming, registering, or using the vehicle prize. Prize will be delivered to U.S. dealership and winner must pick up vehicle prize within 30 days of notification.  Upon prize delivery to winner, winner assumes all costs, responsibility, damages, liability and expenses relating directly or indirectly to the vehicle thereafter and agrees to release and hold harmless all Promotion Entities from any and all threatened or actual claims, actions, responsibilities, damages, and liabilities relating thereto or arising therefrom, now and in the future, by whomever and by whatever the cause.

First Prize (1): a prize pack consisting of product vouchers from sponsors RevIt, Bell Helmets, and Danner boots and a one year subscription to VAHNA magazine (ARV: $1,500 USD).

Second Prize (1): a prize pack consisting of product vouchers from sponsors Revzilla, Bell Helmets, Danner boots and a one year subscription to VAHNA magazine (ARV: $1,000 USD).

Any check, gift card, voucher or certificate issued as a prize is for promotional purposes only, will not be replaced by Sponsor if lost, misplaced, stolen, damaged or destroyed, and is subject to the terms and conditions of issuer. Limit ONE (1) prize per person. Limit one (1) prize per person/per calendar year from participation in any and all contests and/or sweepstakes sponsored by AMN Healthcare, Inc. or its subsidiaries and affiliates.

WINNER NOTIFICATION: If a potential winner is found to be ineligible, fails to timely respond within the time stated by Sponsor, or declines to accept the Prize, or Sponsor is unable to contact the potential winner for the respective prize on or within two (2) separate attempts, or in the event that the prize confirmation, notification, or Prize is returned, ignored, not timely responded to, misdirected or undeliverable, the Prize will be forfeited, and in the Sponsor's sole discretion, the forfeited Prize may be awarded to an alternate potential winner based on the next highest score from an eligible Finalist’s Entry. Thereafter, if unsuccessful, prize will be forfeited and will not be awarded. Promotion Entities are not responsible for any undelivered telephone calls, messages, e-mails, or any other communications, including but not limited to those that are not received because of the Participant’s privacy or spam filter settings that may divert any notification or other Promotion related e-mail to a spam or junk folder. 

PRIZES ARE AWARDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OR GUARANTEE FROM SPONSOR, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Any and all applicable reporting and payment obligations for local, state, and federal taxes and all expenses not specifically stated herein are the responsibility of each winner; winners are advised to seek independent counsel regarding prize tax implications, if any. Only the prize as described is available to be awarded; in no event will Promotion Entities be responsible for awarding more or different prizes than stated in connection with the Contest. Prizes cannot be assigned, transferred, or substituted, except by Sponsor who may, at its sole discretion, substitute a prize or any part thereof with a prize of equal or greater value. Prizes are not redeemable for cash; any difference between the actual value and ARV of the prize will not be awarded as cash, or otherwise unless expressly stated.  

INDEMNIFICATION & RELEASE: BY PARTICIPATING, PARTICIPANTS AGREE TO THE FULLEST EXTENT PERMITTED BY LAW TO RELEASE, DISCHARGE AND HOLD HARMLESS THE SPONSOR,  OTHER PROMOTION ENTITIES, SOCIAL MEDIA PLATFORMS (USED TO FACILITATE OR ADVERTISE THE CONTEST) AND THEIR PARENT, AFFILIATES AND SUBSIDIARY COMPANIES, ADVERTISING AND PROMOTION AGENCIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, INDEPENDENT CONTRACTORS, REPRESENTATIVES AND AGENTS (“RELEASED PARTIES”) FROM AND AGAINST ANY AND ALL ALLEGED AND/OR ACTUAL CLAIMS, CAUSES OF ACTION, DEMANDS, LOSSES, SETTLEMENTS (WHETHER OR NOT LITIGATION IS COMMENCED), LIABILITIES AND DAMAGES OF ANY KIND WHATSOEVER EXISTING NOW OR ARISING IN THE FUTURE (INCLUDING, WITHOUT LIMITATION, BODILY INJURY, PERSONAL INJURY, DEATH, DISABILITY AND PROPERTY DAMAGE, VIOLATION OF PROPRIETARY, PUBLICITY, PRIVACY OR ANY OTHER RIGHTS), COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS’ FEES, COURT COSTS, SETTLEMENT AND DISBURSEMENTS) DIRECTLY OR INDIRECTLY ARISING OUT OF USE OF THE ENTRY IN WHOLE OR IN PART, THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF A PRIZE, PARTICIPATION IN ANY PROMOTION AND/OR PRIZE RELATED ACTIVITIES, ACCESS TO THE WEBSITE, AND/OR ANY OTHER PARTICIPATION IN THIS PROMOTION. By entering, Participants covenant to the fullest extent permitted by law not to sue any Released Party or cause them to be sued regarding any matter released above, and not to disaffirm, limit or rescind this release. A waiver by one or more of the Promotion Entities of any term in these Official Rules does not constitute a waiver of any other provision. Any provision adjudged to be invalid shall be struck from the Rules and the remainder shall continue in full force and effect.

LIMITATIONS OF LIABILITY: Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by website users, human error, tampering, hacking or by any of the equipment or programming associated with or utilized in the Promotion and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, incompatibility, communications failure, theft, loss or destruction of Entries, nor for the failure to capture Entry or other information, in whole or in part.  Promotion Entities are not responsible for injury or damage to Participants' or to any other person's computer and/or mobile device related to or resulting from downloading materials from or use of any Website. If, for any reason, the Promotion or any element thereof is not capable of running as planned by reason of, but not limited to, tampering, unauthorized intervention, fraud, force majeure, technical or other failures or errors, or any other causes similar or dissimilar which Sponsor deems, in its sole opinion, could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, or any element thereof, Sponsor reserves the right at its sole discretion at any stage in the Promotion to cancel, terminate, modify or suspend the Promotion, or element thereof and select the winner(s) from non-suspect, eligible Entries received prior to the action or as otherwise may be deemed equitable by Sponsor. In the event of any discrepancy, ambiguity, inconsistency, printing or any other error or miscommunication by any person, or in any communications, announcements, advertising and/or promotional materials relating to this Promotion or any element thereof, these Official Rules shall govern. 

Promotion Entities shall not be liable to Participants, winner or any other person or entity for failure to execute the Promotion, or any element thereof or supply a prize or any part thereof, by reason of any act of God, any action(s), regulation(s) order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist act, cyber-attack, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, cancellation or delay of any event, epidemic or pandemic, cancellation or delay of any screening or any other element of the Film Festival, or any similar or dissimilar event beyond their reasonable control. 

PUBLICITY RIGHTS:  By participating in the Promotion, Participants grant (and agree to confirm that grant in writing if requested) permission for Sponsor and/or Sponsor's authorized representatives the right to use his/her name, information, likeness, image, voice, and other statements (provided they are accurate and true) for promotion, trade, commercial, and publicity purposes, at any time or times, in all media now known or hereafter discovered including television and the internet including Sponsor’s social media platforms and those of third parties whether or not connected with the Promotion, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.  Winner understands and agrees they may be announced on Instagram, subject to prior verification and compliance.

DISPUTES/ARBITRATION: THIS PROMOTION AND ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES, OR THE RIGHTS AND OBLIGATIONS OF PARTICIPANT, SPONSOR, OR ANY OTHER PROMOTION ENTITY IN CONNECTION WITH THE PROMOTION SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE UNITED STATES AND THE STATE OF COLORADO WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Promotion, to the fullest extent permitted by law, Participants agree that any and all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action or a jury trial, exclusively before a neutral one person binding arbitration located in or near Arvada, CO having jurisdiction. Under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim punitive, incidental, consequential, and any other damages (other than for actual out-of-pocket expenses) and any and all rights to have damages multiplied or otherwise increased.
